These Terms & Conditions (“Terms”) govern your use of Ads Nova Media’s (“we,” “us,” or “our”) website (www.adsnovamedia.com) and services. By engaging with us, you (“Client” or “you”) agree to these Terms.

1. Services & Scope

1.1 Ads Nova Media provides digital marketing services, including but not limited to:

• Paid advertising (Google Ads, Meta, TikTok, etc.)

• Email marketing

• Content creation & SEO

• Analytics & reporting

1.2 Services are outlined in individual proposals or contracts (“Service Agreements”). Any changes require written approval.

2. Client Responsibilities

2.1 You agree to:

• Provide accurate business information, assets (logos, brand guidelines), and access to required accounts (e.g., Google Ads, Meta Business Manager).

• Make timely payments (see Section 4).

• Notify us of any issues within 5 business days of discovery.

2.2 Delays caused by your failure to meet these obligations may impact service delivery.

3. Performance & Results

3.1 While we strive for optimal outcomes, we do not guarantee specific results (e.g., ranking #1 on Google, fixed ROAS). Performance depends on factors beyond our control (market competition, algorithm changes, product/service quality).

3.2 We commit to:

• Industry-standard strategies and best practices.

• Transparent reporting and proactive optimization.

4. Payments & Fees

4.1 Fees are outlined in your Service Agreement. Payment terms are net-15 unless otherwise specified.

4.2 Late Payments:

• Overdue invoices may incur a 1.5% monthly interest fee.

• Services may be paused for non-payment after 30 days.

4.3 Ad Spend: Client-funded ad budgets are non-refundable once deployed to platforms.

5. Cancellation & Termination

5.1 Either party may terminate services with 30 days written notice.

5.2 Early termination of contracts may require payment of outstanding fees or early-termination charges (if applicable).

6. Intellectual Property

6.1 Client Ownership: You retain rights to your brand assets, data, and content.

6.2 Agency Ownership: We retain rights to templates, strategies, and tools developed for general use (unless specified otherwise in your Service Agreement).

7. Confidentiality

Both parties agree to keep confidential information (business strategies, pricing) private, except where disclosure is legally required.

8. Limitation of Liability

8.1 We are not liable for:

• Indirect damages (lost profits, data loss).

• Third-party actions (e.g., platform outages, policy changes).

8.2 Total liability is limited to fees paid for the affected service.

9. Dispute Resolution

9.1 Parties agree to negotiate disputes in good faith before pursuing legal action.

9.2 Governing law: USA

10. General

10.1 These Terms supersede prior agreements.

10.2 We may update these Terms with 30 days notice. Continued use constitutes acceptance.
